Welcome to Helios. These Terms of Service ("Terms") govern your use of the Helios mobile application and related services (collectively, the "Service"). By using Helios, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Helios is not a healthcare provider, health plan, or HIPAA-covered entity. Always seek the advice of a qualified healthcare provider with any questions about a medical condition. Never disregard professional medical advice or delay seeking it because of information provided by Helios. In a medical emergency, call emergency services immediately.
By accessing or using Helios, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Helios. If you are using the Service on behalf of a minor (aged 13–17), you accept these Terms on their behalf and assume full responsibility.

Helios uses artificial intelligence (xAI Grok, VoyageAI, and OpenRouter) to process your data and generate responses. You understand that:
The Service, including its design, features, code, and content (excluding your personal data), is owned by Helios and protected by intellectual property laws. You retain ownership of your personal data. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide the Service.
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties including but not limited to: merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or reliability of health information, uninterrupted, timely, secure, or error-free operation, results obtained from use of the Service, and accuracy of AI-generated content.
You use the Service at your own risk. No advice or information obtained from Helios shall create any warranty not expressly stated in these Terms.
To the maximum extent permitted by applicable law: Helios, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits, data, goodwill, use, or health outcomes; cost of substitute services; or damages arising from or related to (a) your use of or inability to use the Service, (b) any health decisions made based on information from the Service, (c) unauthorized access to your data, (d) AI-generated content, or (e) any other matter relating to the Service.
In no event shall our total aggregate liability exceed the greater of: (a) the amounts you paid to Helios in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Helios, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

You and Helios agree that each party may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general action or proceeding.
The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, collective, or representative proceeding.
If this class action waiver is found to be unenforceable, then the entirety of the arbitration provision (Section 14) shall be null and void, and disputes shall be resolved in court.
Helios is a consumer wellness application. We are NOT a healthcare provider, health plan, healthcare clearinghouse, or business associate as defined under the Health Insurance Portability and Accountability Act (HIPAA). HIPAA does not apply to the Service. While we implement security practices that align with industry standards, this does not constitute HIPAA compliance. You acknowledge this by using the Service.
We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may terminate your account at any time through the app's Settings or by contacting support. Upon termination:
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. To the extent court proceedings are permitted (including if you opt out of arbitration), you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
We may modify these Terms at any time. We will notify you of material changes through in-app notice or email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
If any provision of these Terms is found unenforceable by a court or arbitrator, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Helios regarding the Service, superseding all prior agreements, understandings, and representations.
