Terms of Service

Welcome to Helios. These Terms of Service ("Terms") govern your use of the Helios mobile application and related services (collectively, the "Service"). By using Helios, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using Helios, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Helios. If you are using the Service on behalf of a minor (aged 13–17), you accept these Terms on their behalf and assume full responsibility.

2. Eligibility

You must be at least 13 years old to use Helios. By using the Service:

• If you are 18 or older, you represent that you have the legal capacity to enter into these Terms.
• If you are between 13 and 17, you represent that your parent or legal guardian has reviewed these Terms and the Privacy Policy and has consented to your use of the Service on your behalf. Your parent or guardian agrees to be bound by these Terms with respect to your use.
• If you are under 13, you may NOT use Helios. We do not knowingly collect data from children under 13.

In the EU/EEA, users under the age of digital consent in their member state (which varies from 13 to 16) must have verifiable parental consent.

3. Service Description

Helios is a personal health and wellness application that:

• Provides AI-powered health insights and educational information
• Tracks health goals, conditions, medications, and lifestyle factors
• Integrates with Apple HealthKit for on-device health data analysis
• Offers Agent Mode for automated web tasks (appointment booking, shopping)
• Stores and retrieves health-related memories from your conversations

4. NOT Medical Advice — Assumption of Risk

You expressly acknowledge and agree that:

• Helios is a wellness education tool, NOT a medical device, NOT a healthcare provider, and NOT a HIPAA-covered entity.
• All AI-generated content is algorithmic and may contain errors, omissions, hallucinations, or inaccuracies.
• AI outputs must NEVER be used as the sole basis for any health, medical, or lifestyle decision.
• You assume all risk associated with acting on information provided by the Service.
• Helios does not create a doctor-patient, therapist-patient, or any healthcare provider relationship.
• You are solely responsible for your health decisions and for verifying any information with qualified professionals.

5. Health Data — Consent and Risk Acknowledgment

By using Helios, you acknowledge that:

• Your health data (medical conditions, medications, family history, biometrics, and other sensitive information) is transmitted to and processed by third-party AI services including xAI, VoyageAI, and OpenRouter.
• Your data is stored on infrastructure provided by Supabase and Railway in the United States.
• While we encrypt data in transit (TLS 1.3) and at rest (AES-256), no system is completely secure, and you assume the inherent risk of sharing health information with cloud-based AI systems.
• Apple HealthKit data remains on your device and is never transmitted to our servers.

6. Account Registration and Security

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

7. Subscription and Payment Terms

• Free Tier: Basic access with usage limits as described in the app.
• Paid Subscriptions: Offer enhanced features. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period.
• Billing: Managed through Apple's App Store via RevenueCat. All charges are processed by Apple.
• Cancellation: You may cancel at any time through your Apple ID subscription settings. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time.
• Refunds: Refund requests are subject to Apple's App Store refund policies.
• Price Changes: We may change subscription prices. You will be notified in advance and given the option to cancel.

8. Prohibited Uses

You agree NOT to:

• Use the Service for any unlawful purpose
• Impersonate another person or provide false information
• Access another user's account without authorization
• Attempt to circumvent security measures, rate limits, or access controls
• Use automated systems (bots, scrapers) to access the Service without permission
• Upload malicious code or interfere with Service operation
• Use the Service to provide medical advice to others
• Resell, sublicense, or redistribute the Service
• Use the Service if you are under 13 years old

9. AI-Generated Content

Helios uses artificial intelligence (xAI Grok, VoyageAI, and OpenRouter) to process your data and generate responses. You understand that:

• AI-generated content is for informational and educational purposes only
• AI may produce inaccurate, incomplete, misleading, or fabricated information ("hallucinations")
• You must independently verify all important information, especially health-related content, with qualified professionals
• AI outputs do not constitute professional advice of any kind
• We do not guarantee the accuracy, reliability, or completeness of AI-generated content

10. Intellectual Property

The Service, including its design, features, code, and content (excluding your personal data), is owned by Helios and protected by intellectual property laws. You retain ownership of your personal data. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide the Service.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties including but not limited to: merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or reliability of health information, uninterrupted, timely, secure, or error-free operation, results obtained from use of the Service, and accuracy of AI-generated content.

You use the Service at your own risk. No advice or information obtained from Helios shall create any warranty not expressly stated in these Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law: Helios, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits, data, goodwill, use, or health outcomes; cost of substitute services; or damages arising from or related to (a) your use of or inability to use the Service, (b) any health decisions made based on information from the Service, (c) unauthorized access to your data, (d) AI-generated content, or (e) any other matter relating to the Service.

In no event shall our total aggregate liability exceed the greater of: (a) the amounts you paid to Helios in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Helios, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of or access to the Service
• Your violation of these Terms or any applicable law
• Your violation of any third-party rights
• Any health, medical, or lifestyle decisions you make based on information from the Service
• Content or data you submit to the Service
• Your use of Agent Mode and any transactions facilitated thereby

14. Binding Arbitration

• Agreement to Arbitrate: You and Helios agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration rather than in court, except for claims that may be brought in small claims court.
• Rules: Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English.
• Individual Basis: Arbitration shall be conducted on an individual basis only. You agree not to participate in any class, collective, consolidated, or representative arbitration.
• Location: Arbitration may be conducted remotely (by telephone, video, or written submissions) or in the county where you reside.
• Arbitrator Authority: The arbitrator shall have exclusive authority to resolve all disputes, including the scope and enforceability of this arbitration provision.
• Fees: Each party is responsible for its own attorneys' fees unless applicable law requires otherwise. If the arbitration filing fee exceeds what you would pay in court, we will pay the difference.
• Opt-Out: You may opt out of this arbitration provision by sending written notice to support@my-helios.app within 30 days of first using the Service. Your notice must include your name, email, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in the courts of Delaware.

15. Class Action Waiver

You and Helios agree that each party may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general action or proceeding.

The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, collective, or representative proceeding.

If this class action waiver is found to be unenforceable, then the entirety of the arbitration provision (Section 14) shall be null and void, and disputes shall be resolved in court.

16. HIPAA Non-Applicability

Helios is a consumer wellness application. We are NOT a healthcare provider, health plan, healthcare clearinghouse, or business associate as defined under the Health Insurance Portability and Accountability Act (HIPAA). HIPAA does not apply to the Service. While we implement security practices that align with industry standards, this does not constitute HIPAA compliance. You acknowledge this by using the Service.

17. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may terminate your account at any time through the app's Settings or by contacting support. Upon termination:

• Your right to use the Service ceases immediately
• We will delete your data in accordance with our Privacy Policy
• Sections 4, 5, 10–16, and 18–21 survive termination

18. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. To the extent court proceedings are permitted (including if you opt out of arbitration), you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

19. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through in-app notice or email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

20. Severability

If any provision of these Terms is found unenforceable by a court or arbitrator, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Helios regarding the Service, superseding all prior agreements, understandings, and representations.
